ASSOCIATION OF HAMPSHIRE LADY CAPTAINS

CONSTITUTION
1.
NAME: Association of Hampshire Lady Captains.
2.
OBJECTS:
To
provide opportunities for friendly golfing and social meetings
3.
MEMBERSHIP:
All
past and present Lady Captains of Hampshire Golf Clubs and Hampshire County
shall be eligible for membership. Any person so eligible shall notify her wish
to join the Association to the Honorary Secretary, in writing. Any member wishing
to resign shall give notice to the Honorary Secretary in writing and such
resignation shall take effect from the next Annual General Meeting, but without
prejudice to the liability to pay arrears in subscription.
4.
GENERAL MEETINGS:
The financial year of Association shall end On the 31st December and the
Annual General Meeting shall be held in the following February or March, each
member having received at least twenty-one days' notice. Resolutions for the
Annual General Meeting must reach the Honorary Secretary at least fourteen days
before the Annual General Meeting.
The
Committee may call an Extraordinary General Meeting on giving at least
twenty-one days' notice to members, stating the matters to be discussed and
shall be bound to do so within twenty-eight days of receiving a request signed
by twenty-five or more members Setting
out the reasons for the request. The quorum for a General Meeting shall be
fifty.
5.
MANAGEMENT:
(a) The management of the Association shall be vested in
a Committee consisting of the Officers, the Vice Captain and not more than
three other members any four to forma quorum.
(b)
The Officers of the Association shall be the
President, Captain. Vice Captain, Honorary Secretary, Honorary Treasurer and Honorary
Assistant Secretary.
(c)
The Committee shall have power to fill any
vacancy arising among the Officers or the Committee members but any Officers or
Committee members so chosen shall seek election at the next Annual General
Meeting.
(d)
The Committee may co-opt members on a temporary
basis to assist in specific tasks but without voting rights.
(e)
The duties of all Officers and Committee members
shall be defined by the Committee: two or more posts may be combined if
considered appropriate.
6.
ELECTION & RETIREMENT OF COMMITTEE:
(a)
The President shall hold office for three
consecutive years after which time she will be ineligible for one year for
election to the Committee.
(b)
The Captain shall hold office for one year
following one year as Vice Captain after which time she will be ineligible for
one year for re-lection to the Committee.
(c)
The Honorary Secretary, Assistant Secretary and
Honorary Treasurer shall retire annually but shall be eligible for re-election.
(d)
The other members of the Committee shall be
elected for a period of three years. They shall retire in rotation and will be
ineligible for re-election for a period of one year during the term of office
as a committee member. In the event of a
casual vacancy a member will be co-opted for the remaining period of the
outgoing committee member and be ratified at the next AGM.
(e)
Nominations (duly proposed and seconded) of
members willing to serve on the Committee shall be sent to the Honorary
Secretary at least fourteen days before-the Annual General Meeting.
(f)
The President and Captain shall co-opt past
holders of their office to a sub-committee in order to recommend nominations
for their successors.
7. DISSOLUTION:
In the
event of the Association ceasing to
exist, any funds remaining after the satisfaction of all liabilities, shall be
donated to an organisation to further the cause of Women's Golf.
8. AMENDMENTS
TO CONSTITUTION:
The
Constitution of the Association may only be altered or amended with a two-thirds'
majority vote at a General fleeting which shall be by paper ballot or by show
of hands.
RULES
9. ALTERATIONS
TO RULES:
(a)
Alterations to the Association's Rules may only be
made at a General Meeting except as allowed for in 9(a)i below
i)
In emergencies the Committee may vary these rules
to cover a new situation provided always that any such amendment or new rule is
placed on the Agenda of the next Annual General Meeting.
(b)
At any General Meeting all decisions on the
Rules shall be recorded based on a simple majority of those present and eligible
to vote. In the event of a tie, the President
shall have the casting vote.
10. SUBSCRIPTIONS.
FEES. HONORARIA:
(a)
Subscriptions and Entrance Fees shall be fixed
at each Annual General Meeting for the following year.
(b)
Subscriptions shall be due on the 1st January
and must be paid by the Annual General Meeting. Any member who has not paid by this date shall
not be eligible to play in any competition or match nor vote at any meeting. Any member who has not paid her subscription
by the 31st December shall cease to be a member and may only rejoin on payment
of the current Entrance Fee.
(c)
The Committee are authorised to approve match
and meeting fees and if meeting if necessary sanction subsidies from Society
funds to cover any extra match expenses.
(d)
Any increases in Honoraria for the Officers of
the Association shall be reviewed and agreed at the Annual General Meeting.
11.
ACCOUNTS
Committee
shall cause the Accounts to be kept by the Hon. Treasurer and audited by an
Auditor duly nominated by the Committee. The Accounts shall be presented each year to
the members for adoption at the Annual General Meeting
